SPREESTAKES OFFICIAL RULES

ELIGIBILITY: This Sweepstakes is open only to legal residents of the fifty (50) United States and the District of Columbia, who are eighteen (18) years of age or older at the time of entry. Employees, officers, and directors (and their immediate families or those living in the same household) of zuuzs, LLC ("Sponsor") and its respective affiliates, subsidiaries, divisions, parent and related companies, suppliers, printers and advertising, promotional and judging agencies are not eligible to enter or win. Void outside the fifty (50) United States, the District of Columbia and where prohibited and restricted by law. The Sweepstakes is subject to all applicable federal, state and local laws, rules and regulations.

HOW TO ENTER: The Sweepstakes begins at 12:00:01 a.m. EDT on September 6, 2011 and ends at 11:59:59 p.m. EDT on October 7, 2011 ("Sweepstakes Term"). The Sponsor's computer is the official time keeping device for online entry into the Sweepstakes. No entries into the Sweepstakes will be accepted before or after the Sweepstakes Term. If you are a zuuzs member, you will be entered into the Sweepstakes automatically and receive the corresponding entries as set forth below. If you are not a zuuzs member, visit the zuuzs Facebook® Fan page at http://www.facebook.com/#!/myzuuzs, you can (but are not required to) become a Fan and enter the Sweepstakes by going to the Sweepstakes tab on the zuuzs Facebook® page, and following the entry instructions. To register, you may be required to provide some or all of the following information: your name, age, and email address.

Beginning on September 6, 2011, you will be eligible to receive one (1) entry into the Sweepstakes if you do one of the following:

• Successfully registering to become a member on zuuzs.com. You may only register once with zuuzs.com.
• Inviting a friend or friends to become a member on zuuzs.com AND such friend actually registers pursuant to your invitation.

You may invite as many friends as you wish and will receive one (1) entry for each friend that registers. Each friend may only register once with zuuzs.com. Entries for inviting friends are only available after first becoming a member of zuuzs.com. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins, script, macro, robotic, programmed, or any other automated means or any other method or with the intent to impair the integrity of this Sweepstakes (all as determined by Sponsor, in its sole discretion), will void that entrant's entries and that entrant will be disqualified.

All eligible entries received will be carried over into the next random drawing(s) until the Sweepstakes concludes with the final drawing on October 8th, 2011.

Enter using only an email address subscribed and registered in your name. In the event of a dispute as to entries submitted by multiple individuals using the same email account, entry will be deemed to have been submitted by the authorized subscriber of the email account used to enter the Sweepstakes at the actual time of entry. The authorized email account subscriber is deemed to be the natural person who is assigned an email address by an Internet access provider, on-line service provider or other organization which is responsible for assigning email addresses or the domain associated with the submitted email address. All entries must be received by 11:59:59 p.m. EDT on October 7, 2011.

PRIZES AND APPROXIMATE RETAIL VALUE: There will be Four (4) Prizes awarded. The Prize consists solely of Four (4) separate shopping sprees as follows:


The Winner will receive a prepaid debit card (i.e. , Visa, MasterCard, or AMEX) valued at the applicable prize to shop used at any location/online store that accepts such card. The total value of all Prizes to be awarded is $2,000.00. All federal, state, and local tax liabilities are the sole responsibility of the Winner. An IRS form 1099 will be issued if the value of the total prize meets the IRS reporting threshold. To do so, you will be required to complete IRS Form W-9, Request for Taxpayer Identification Number, prior to receiving your prize. The debit cards are subject to terms and conditions specified by the entity issuing the card. Such conditions may include one or more of the following: cards may not be redeemable for cash or used for payment on accounts, for the payment for prior purchases, and may be non-refundable; cards may contain expiration dates, and may be redeemable only by legal residents of the United States. All other expenses relating to acceptance of Prize not explicitly stated herein are responsibility of Prize winner. Issuance of the debit card will be made no later than 15 days after the applicable drawing date. All details of prize not specified herein shall be determined solely by Sponsor.

RANDOM DRAWING: Four (4) Prize Winners will be selected by Sponsor. Winner will be chosen in a random drawing from among all eligible entries received, by judges selected by Sponsor, whose decisions are final and binding in all matters relating to this Sweepstakes. The Prize is guaranteed to be awarded. The potential Winners selected in each random drawing will be conducted on or about the dates stated below.


Once you are entered into the Sweepstakes, your entries will remain in the drawing for all unexpired drawings until the Sweepstakes concludes with the final drawing on October 8th, 2011. The random drawings will be conducted by representatives of Sponsor, whose decisions regarding selection of Winners are final and binding. Limit one (1) Prize per person/email address/household. The potential Winner will be required to sign and return an affidavit of eligibility, release of liability, and where lawful, a publicity consent and release agreement, and Form W-9 (if applicable) all within ten (10) days of notification or attempted notification. Failure to return the documents and/or requested information, or the return of any prize or prize notification as undeliverable, or if a Winner is found to be ineligible or otherwise not in compliance with these Official Rules, the prize will be forfeited and an alternate winner may be selected in a random drawing from among all remaining eligible entries.

WINNER NOTIFICATION: Each Winner will be notified by email based on the login email address submitted at the time of registering on zuuzs.com. Three (3) attempts will be made to contact a Winner within a five (5) day period. If a Winner fails to respond within the five (5) day period, or if an e-mail attempt is consistently returned as undeliverable, or if the selected Winner cannot accept or receive the prize for any reason within fourteen (14) days, or s/he is not in compliance with these Official Rules, the prize will be forfeited.

PRIZE CONDITIONS: No substitution for any prize will be permitted. If necessary due to unavailability of the Prize, a prize of equal or greater value will be awarded at the discretion of the Sponsor. Prize is not transferable, assignable or redeemable for cash. By entering this Sweepstakes and/or accepting the Prize, Winner and entrants hereby consent (except where prohibited by law) to the reasonable use by Sponsor of the Winner's and entrant's name, age, photograph, voice, likeness and/or image, and hometown address without any further compensation for any future promotional activity related to this Sweepstakes.

ODDS OF WINNING: Odds of winning a Prize depend on the total number of eligible entries received for the Sweepstakes.

CONDUCT OF PARTICIPATION: By entering the Sweepstakes, entrant affirms that he or she has read and agrees to abide by these Official Rules and the decisions of the judges and Sponsor. Sponsor reserves the right to disqualify any entrant acting in violation of the Official Rules or found tampering with the entry process or with the operation of the Sweepstakes or the website. The Sweepstakes is governed by the laws of the United States and, by entering, all Winners and entrants hereby submit to the jurisdiction and venue of the federal, state and local courts located in Dallas, Texas.

WARRANTIES AND CONSENTS: By completing and submitting an entry, you: (a) represent and warrant that (i) you have read, and agree to be bound by, these Official Rules, and any applicable policies or procedures posted by Facebook®, (ii) based on these Official Rules, you are eligible to participate in the Sweepstakes, and (iii) all of the information provided as part of your entry is accurate, does not violate any third party's legal rights (including without limitation rights of privacy and publicity), and otherwise does not violate applicable law; (b) consent to the use of your name and/or likeness by Sponsor for promotional purposes (whether online, in print or through any other media now known or hereafter developed), without additional compensation or authorization unless prohibited by law; and (c) agree to be bound by the interpretations of these Official Rules by Sponsor, which are final in all matters relating to the Contest; and (d) acknowledge that this Sweepstakes is in no way sponsored, endorsed, administered by or associated with Facebook®.

INTERNET: If for any reason this Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion to disqualify any person who tampers with the entry process, and/or to cancel, terminate, modify or suspend the Sweepstakes.

ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE RELATED TO SPONSOR OR THE SWEEPSTAKES OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.

LIMITATIONS OF LIABILITY: Sponsor and each of its respective affiliates, subsidiaries, parent corporations, and their respective officers, directors, shareholders, employees and agents, are not responsible for any incorrect or inaccurate entry information, theft, tampering, destruction, or unauthorized access to, or alteration of entries; printing or other errors; and any entries which are late, lost, delayed, incomplete, misdirected, stolen, mutilated, illegible, or any combination thereof. Sponsor reserves the right to modify, suspend or terminate the Sweepstakes in the event that it becomes necessary due to circumstances beyond Sponsor's control. In the event the Sweepstakes is terminated early, Winner(s) will be selected from all eligible entries received at the time of termination.

RELEASE OF LIABILITY: By participating, Winner and entrants agree to release, discharge, indemnify and hold harmless Sponsor, Facebook® and each of their respective affiliates, subsidiaries, parent corporations, and their officers, directors, employees, representatives and agents from and against any claims made by the Winner, entrants or any other third parties related in any way to the operation of this Sweepstakes, as well as any other claims, damages or liability due to any injuries, damages or losses (whether alleged, threatened, or actual) to any person or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in this Sweepstakes.

IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE ANY AND ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF THE STATE OF CALIFORNIA, WHICH PROVIDES AS FOLLOWS:

"A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR."

You expressly waive and release any right or benefit which you have or may have under Section 1542 of the Civil Code of the State of California, to the full extent that you may waive all such rights and benefits pertaining to the matters released here. In connection with such waiver and relinquishment, you acknowledge that you are aware that you may hereafter discover claims presently unknown or unsuspected, or facts in addition to or different from those which you now know or believe to be true, with respect to the matters released herein; nevertheless, it is your intention through this release to fully and finally and forever settle and release all such matters and claims relative thereto, which do not exist, may exist or heretofore have existed between yourself and Sponsor or Facebook®. The release herein given shall be and remain in effect as a full and complete release of such claims and matters notwithstanding the discovery or existence of any such additional or different claims or facts relative thereto.

PRIVACY: Any information collected will be subject to zuuzs.com's Privacy Policy, located at http://www.zuuzs.com/about/privacy/ (the "Policy"). By entering the Sweepstakes, you acknowledge that you have agreed to such Policy and you consent to the collection, use and disclosure of your Personal Information for the purposes of administering this Sweepstakes in accordance with such Policy. If you wish to access or correct your Personal Information held by us, opt out of receiving further communications from us or our affiliated merchants or companies, or have other questions respecting our Policy, please contact us at memberservices@zuuzs.com.

OWNERSHIP OF ENTRIES: Subject only to rights in your Personal Information, ALL ENTRIES BECOME THE PROPERTY OF SPONSOR AND WILL NOT BE RETURNED OR ACKNOWLEDGED. You will take all further acts necessary to effectuate the intent of these Official Rules, including, without limitation, executing and delivering to the Sponsor, all such agreements, contracts and any other documents to confirm Sponsor's ownership of the entries.

FORCE MAJEURE: The failure of the Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, act of public enemies, actions of governmental authorities outside of the control of the Sponsor (excepting compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules.

DISPUTES: Except where prohibited or otherwise outlined in these Official Rules, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate Texas State Court; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Texas, without giving effect to any choice of law or conflict of law rules (whether of the State of Texas or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Texas.

You understand that you are providing information to zuuzs.com, and not to Facebook®. The information you provide will only be used in a manner consistent with the zuuzs.com Privacy Policy, available http://www.zuuzs.com/about/privacy/.
